Terms of Use

These Terms of Use ("Terms") govern your use of the RO9 web application, the RO9 mobile applications and this website (the "Services"), provided by RO9 Logistics LLC ("RO9", "we", "us"). By using the Services you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf and confirm you have authority to do so.

1. Eligibility and accounts

You must be at least 18 to use the Services. Access is by invitation or through an organization that has an agreement with us. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us right away at support@ro9.com if you suspect unauthorized use.

2. Acceptable use

You agree not to:

• access the Services without authorization, or share your account with others;
• probe, scan or test the vulnerability of the Services, or bypass any security or access control;
• reverse engineer, decompile or copy the Services, except where the law expressly allows it;
• upload unlawful content, malware, or content you have no right to share;
• use the Services to send unsolicited messages or to violate anyone's privacy or rights;
• interfere with or disrupt the Services or other users.

3. Your content

You keep ownership of the information and files you submit. You grant us a limited license to host, process and display that content only as needed to provide the Services to you and your organization, and as described in our Privacy Policy. You confirm you have the rights needed to submit it.

4. Our property

The Services, including software, design, text and trademarks such as "RO9", belong to RO9 and its licensors and are protected by law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. All other rights are reserved.

5. Messages

If you give us a mobile number, you agree we may send service-related text messages to it. Message and data rates may apply. Reply STOP to opt out or HELP for help.

6. Third-party services

The Services may connect with services run by others. We are not responsible for third-party services, and your use of them is governed by their terms.

7. Changes and availability

We may change, suspend or discontinue any part of the Services. We may suspend or end your access if you breach these Terms or if needed to protect the Services or others.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RO9 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR $100.

10. Indemnity

You agree to defend and indemnify RO9 against claims arising from your misuse of the Services or your breach of these Terms.

11. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction.

12. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date. Continuing to use the Services after a change means you accept it.
